Room Rental Agreement
This Rental Agreement ("Agreement") is entered into between Limitless Integrative Wellness
("LIW") and ___________________________________________________ of,

1. Rental Options & Pricing
Rental fees are outlined in Appendix A and are based on cash payment rates. A 3% processing fee will be applied to all credit card and Venmo transactions.
All rental rates include access to the following shared amenities at no additional cost:

Wi-Fi access

General utilities

Basic cleaning services (Note: renters are still responsible for leaving spaces in clean condition post-use)
Rental options are available by the hour, by the day, or through monthly membership packages. Full details of rental types and corresponding rates can be found in Appendix A.

3. Reservations and Guidelines
-
All reservations must be made through the designated scheduling system.
-
Access will be provided upon activation of your agreement.

Renters are required to “invite” info@limitlessintegrativewellness.com to each reservation when booking through the system. This ensures accurate internal tracking and building access support.

If you experience issues accessing the scheduling system, you must notify LIW immediately by emailing: info@limitlessintegrativewellness.com. We will assist you in placing or modifying your reservation manually if needed.

All renters are expected to follow LIW’s security, cleanliness, and room usage policies as outlined in Appendix B. Failure to do so may result in loss of booking privileges.
4. Payment Terms

For hourly rentals, payment is due at the time of booking.
-
For memberships, payment is due at time of signing or on the date the membership goes into effect, and will automatically renew on the 1st of each month.

A 3% processing fee applies to all payments made via credit card or Venmo.

All Venmo payments must be sent to the official Limitless Integrative Wellness business account only.
-
Cash and Zelle payments are accepted at the standard rental rate with no additional fees.

Zelle payments should be sent to: limitlessintegrativewellness@gmail.com

Late payments will incur a $10 per day late fee beginning the day after the agreed payment due date.

In the event of a returned check, failed credit card transaction, or reversed payment, the renter will be responsible for a $35 returned payment fee, in addition to any applicable late fees.

Repeated payment issues may result in suspension of booking privileges or termination of the rental agreement at the discretion of LIW.
5. Cancellation Policy
To avoid being charged the full rental rate, renters must cancel according to the following guidelines:

Hourly Rentals:
-
Cancellations must be made through the designated scheduling system and confirmed via email to info@limitlessintegrativewellness.com at least 24 hours in advance of the scheduled reservation.

Daily (Flat Rate) Rentals:
-
Cancellations must be submitted through the scheduling system and confirmed via email to info@limitlessintegrativewellness.com at least 72 hours in advance.

Memberships:
-
Members must provide a minimum of 30 days’ written notice via email to info@limitlessintegrativewellness.com to cancel or change membership status and avoid billing for the next cycle.
-
Memberships are based on a Use or Lose model, meaning unused hours do not roll over to the next month.
-
Failure to follow the appropriate cancellation process within the required timeframe will result in the renter being charged the full contracted rental rate.
6. Liability, Damages, and Indemnification
-
The Renter accepts full responsibility for any damage to the premises, furnishings, equipment, or shared amenities that occurs during their rental period. This includes damage caused by the renter’s clients, guests, or any third parties associated with the rental.

The Renter will be invoiced for the full cost of repair or replacement of any damaged property as determined by LIW.

Limitless Integrative Wellness (LIW) assumes no liability for:
-
Personal injury sustained by the renter, their clients, or guests during their time on the premises.
-
Loss, theft, or damage of personal property or client belongings while on-site.
-

The Renter agrees to indemnify and hold harmless LIW, its owners, staff, affiliates, and landlords from any and all claims, liabilities, damages, or expenses (including legal fees) arising from their use of the premises or participation in LIW activities and services.
7. Safety, Privacy and Confidentiality

All renters, guests, and service providers must adhere to strict privacy, safety, and confidentiality protocols while on the premises.

All professional activities conducted within the space must comply with applicable federal and state privacy laws, including but not limited to HIPAA (Health Insurance Portability and Accountability Act), to ensure the confidentiality and protection of client and practitioner information.

Renters are responsible for ensuring that client records, treatment details, and personal information are secured and not visible or accessible to unauthorized individuals.
-
Any breach of privacy, confidentiality, or safety protocol will result in immediate termination of the rental agreement and may carry legal consequences, including but not limited to civil or criminal liability.
-
LIW reserves the right to immediately restrict access to the premises in the event of any behavior deemed unsafe, unethical, or non-compliant with professional standards.
8. General Liability Insurance

All renters are required to carry general liability insurance with a minimum coverage of $500,000 per occurrence and $1,000,000 aggregate.

The renter’s insurance policy must list the following entities must as Additional Insured:

Proof of insurance must be submitted to LIW prior to the first rental date, and must be kept current at all times while actively renting or maintaining a membership.

Renters are required to submit updated proof of insurance annually or upon renewal of their policy, whichever comes first.

Failure to maintain valid insurance may result in suspension of access to the space and/or termination of this agreement.
9. Indemnification
The Renter, including any Collective Member, agrees to indemnify, defend, and hold harmless Limitless Integrative Wellness (LIW), its owners, directors, officers, employees, affiliates, and staff from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of or related to:

Their use of the rental space or any common areas;

Participation in the Collective Membership program;
-
Actions or omissions by the Renter, their clients, guests, or associates while on the premises;
-
Violation of any applicable laws, regulations, or terms of this Agreement.
This indemnification obligation shall survive the termination or expiration of this Agreement.
10. Agreement and Acknowledgment
By signing this Rental Agreement, the Renter acknowledges that they have carefully read, fully understood, and agree to comply with all terms, conditions, and provisions set forth herein. The Renter further acknowledges that any violation of these terms may result in penalties, including potential termination of the rental arrangement.

APPENDIX B - Room Usage & Safety Protocols

Ensure the room is clean, tidy, and ready to use before starting to see patients/clients.
-
Lighting:
a. Use waiting room lamps only (not overhead lighting)
b. Turn off lights and all electrical equipment when not in use.
-
Safety:
a. Lock the main door if alone in the building between clients. Notify your next client via text message upon arrival.
b. When leaving ensure all lights and electronics are turned off (if you are the last one) and lock the main door behind you.
c. Limit the use of Candles/Incense to avoid fire hazards and smoke alarms.

Ensure clients stay in their designated areas, use only designated bathrooms and follow any restrictions on coffee, water, or food.
